Everybody is different, State laws are different and laws change from time to time.  That said we (the CablBar Family) is not quilified to answer your question(s).

Therefore IMHO you should:
Hire an Attorney and a CPA.  Colectively they can give you the best advice on limiting your liability and limiting your taxes.  
Find a good BUSINESS insureance agent.  One that sells to business not just home and auto.
You will also need a good banker unless you have a pile of cash just laying around.
I have been in this business so long, rocks were soft when I started.
